If you are an Educator accessing or using the Services on behalf of an Educational Institution, you represent and warrant that you have the authority to enter into these Terms and the Student Data Privacy Addendum with us on behalf of your institution. If you make the Student-Facing Services available to students under the age of 13, you represent and warrant that you have the authority to provide Nala AI consent to collect personal information from students for the purpose of providing the Student-Facing Services for educational purposes and that you have provided all required notices to parents and legal guardians. We recommend that you provide a copy of our Student Data Privacy Policy to parents and guardians. If you are a student under 18 using the Student-Facing Services through your Educational Institution, your use of the Services is governed by your institution and may be subject to additional policies, rules, or restrictions imposed by that institution.

Your account is for your personal use only, and you may not transfer your account to anyone else or permit others to use your account. You are responsible for any activity or misuse associated with your account due to failure to protect your password. By agreeing to these Terms and creating an account, Nala AI grants you a limited, non-exclusive, revocable license to access and use the Services we make available through your account on a month-to-month basis, to be used only for your own work as an Educator. This right continues until either you or we terminate this agreement.

2. Your Responsibilities When Using AI-Generated Content

Nala AI's AI-powered tools assist educators, but they do not replace professional judgment. You are responsible for reviewing and revising AI-generated content before using it in an educational setting.

Best Practices for AI Content Use:

1. Review for Bias & Accuracy – AI tools may generate incorrect, biased, or misleading content. Always verify accuracy before sharing.
2. Know AI's Limits – AI-generated knowledge may not reflect real-time updates on recent events or curriculum changes.
3. Protect Student Privacy – If using our Student-Facing Services, do not enter personally identifiable student information unless your institution has executed a Student Data Privacy Agreement with us.

3. Prohibited Uses of the Services

You may not use the Services to:

1. Violate intellectual property rights, data privacy laws, or institutional policies.
2. Generate or distribute fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable content.
3. Jeopardize the security of any user account or the Nala AI system.
4. Bypass, decompile, or reverse-engineer Nala AI's software or AI models.
5. Overload or disrupt the platform's infrastructure or introduce malware.
6. Use the Services for commercial purposes outside of your role as an educator.
7. Access unauthorized areas of our systems.

Any violation of these Terms may result in immediate suspension or termination of access to the Services.

4. Data Privacy & Protection

Nala AI is committed to protecting user data and privacy. We do not collect personally identifiable student data unless your Educational Institution has executed a Student Data Privacy Addendum with us.

We comply with:

• FERPA (Family Educational Rights and Privacy Act)
• COPPA (Children's Online Privacy Protection Act)
• GDPR & UK GDPR (For applicable EU and UK users)

5. Termination of Services

You may terminate your use of the Services at any time by deleting your account from the Profile Settings page.

Nala AI may suspend or terminate your account with or without notice if you:

• Violate these Terms of Service.
• Engage in unauthorized or illegal activities using the Services.
• Fail to comply with data protection policies.

6. Warranty Disclaimer & Limitation of Liability

Warranty Disclaimer:

Nala AI provides the Services "as is", without warranties of any kind, either express or implied. This includes but is not limited to:

• Implied warranties of merchantability or fitness for a particular purpose.
• Non-infringement of intellectual property rights.
• Guarantees of uninterrupted or error-free use.

Some jurisdictions do not allow the exclusion of implied warranties, so the above limitations may not apply to you.

Limitation of Liability:

To the maximum extent allowed by law, Nala AI and its affiliates, licensors, and suppliers shall not be liable for:

• Indirect, incidental, or consequential damages, including lost profits, data loss, or business interruptions.
• Any damages exceeding the greater of $100 or the total amount paid by you in the past 12 months.

Some jurisdictions do not allow certain limitations on liability, so these exclusions may not apply to you.

7. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

All disputes shall be resolved through binding arbitration, administered by the American Arbitration Association (AAA), in accordance with its Consumer Arbitration Rules.

By agreeing to these Terms, you waive your right to:

• A jury trial.
• Participate in a class-action lawsuit.

Arbitration shall be conducted via written submissions unless the arbitrator deems an in-person hearing necessary.

8. Indemnification

You agree to indemnify, defend, and hold harmless Nala AI, its officers, directors, employees, agents, and third-party partners from any claims, damages, losses, or legal expenses arising from:

• Your violation of these Terms.
• Your unauthorized use of the Services.
• Any intellectual property, privacy, or contractual disputes related to your use of Nala AI.
